These Terms of Service govern access to and use of The Overlay King website, online store, digital products, custom design services, Setup Lab services, support services, content, communications, and related offerings.
Throughout these Terms, “The Overlay King,” “we,” “us,” and “our” refer to The Overlay King. “Customer,” “client,” “purchaser,” “user,” “you,” and “your” refer to the individual or organization accessing the website, purchasing a product, requesting a project, booking a service, or otherwise interacting with The Overlay King.
By accessing the website, completing a purchase, submitting a custom-service request, approving a project scope, booking a Setup Lab session, downloading a product, or using a delivered asset, you agree to these Terms and the policies incorporated into them.
Do not use the website, purchase a product, or request a service if you do not agree to these Terms.
1. INCORPORATED POLICIES
These Terms should be read together with The Overlay King’s:
• Return and Refund Policy.
• Digital Delivery Policy.
• Privacy Policy.
• Privacy Practices Addendum.
• Applicable product descriptions.
• Product-specific license terms.
• Approved custom-project scopes.
• Written quotes and invoices.
• Setup Lab service descriptions.
• Other written terms presented before purchase.
Those documents are incorporated into these Terms by reference.
When a product listing, approved project scope, written quote, or signed agreement contains a term that directly conflicts with these general Terms, the more specific written term will control for that product or service.
Nothing in these Terms limits consumer rights that cannot legally be waived.
2. STORE PLATFORM
The Overlay King online store is hosted through Shopify.
Shopify provides the storefront, checkout, transaction, account, payment, security, and related infrastructure used to operate the store.
Shopify and connected service providers may apply their own terms, privacy practices, technical requirements, payment rules, and platform restrictions.
The Overlay King is responsible for its products and services. Shopify is not the creator, designer, provider, or licensor of The Overlay King’s products or custom services.
3. ELIGIBILITY
You must be legally capable of entering into a binding agreement to purchase products or services.
The website, products, and services are not directed to children under 13.
A person under the legal age of majority in their location may use the website only with the involvement and permission of a parent or legal guardian.
A purchase, custom-project approval, payment commitment, or Setup Lab booking for a minor must be completed or authorized by a parent or legal guardian who accepts responsibility for:
• The transaction.
• The submitted information.
• The customer’s conduct.
• The purchased product or service.
• Compliance with these Terms.
• Compliance with the applicable product license.
4. CUSTOMER ACCOUNTS
Some store functions may allow or require a customer account.
You are responsible for:
• Providing accurate account information.
• Maintaining current contact information.
• Protecting account credentials.
• Restricting access to your device and account.
• Reviewing activity conducted through your account.
• Promptly reporting suspected unauthorized access.
You may not:
• Impersonate another person or business.
• Create an account using false information.
• Access another customer’s account.
• Share account credentials to avoid licensing requirements.
• Use multiple accounts to evade access restrictions.
• Attempt to bypass payment, download, or security controls.
The Overlay King may suspend account access when reasonably necessary to investigate fraud, unauthorized activity, payment disputes, security concerns, or violations of these Terms.
5. ACCEPTABLE USE
You may use the website only for lawful purposes.
You may not use the website, products, communications, or services to:
• Violate applicable law.
• Infringe copyrights, trademarks, publicity rights, privacy rights, or other legal rights.
• Distribute malware, viruses, harmful code, or destructive files.
• Attempt unauthorized access to the website, store, accounts, systems, files, or networks.
• Interfere with checkout, delivery, security, or storefront functions.
• Scrape, harvest, copy, mirror, or extract website content through unauthorized automated methods.
• Misrepresent your identity, payment authority, or relationship to another person.
• Submit fraudulent orders.
• Abuse refund, chargeback, redelivery, or download procedures.
• Harass, threaten, defame, exploit, or harm another person.
• Use the services for illegal, deceptive, or fraudulent activity.
• Submit materials that you are not authorized to use.
• Circumvent a product license or access restriction.
• Reproduce the store’s product catalog for a competing business.
The Overlay King may refuse service or restrict access when reasonably necessary to protect customers, intellectual property, business operations, service providers, or the public.
6. PRODUCT AND SERVICE INFORMATION
The Overlay King makes reasonable efforts to describe products and services accurately.
Product listings may include:
• Preview images.
• Demonstration videos.
• File formats.
• Dimensions.
• Resolution.
• Software compatibility.
• Setup requirements.
• Included deliverables.
• License information.
• Delivery information.
• Service limitations.
Preview images and demonstrations are intended to show the general appearance or function of a product.
The final appearance may vary because of:
• Display settings.
• Screen calibration.
• Streaming software.
• Platform compression.
• Device resolution.
• Customer customization.
• Third-party software.
• Fonts or assets installed on the customer’s system.
• Later software or platform updates.
Customers are responsible for reviewing all available product and technical information before purchase.
The Overlay King may correct an accidental description, formatting, availability, or pricing error before an affected order is delivered.
7. AVAILABILITY
Products, services, appointment times, and custom-project capacity are subject to availability.
The Overlay King may:
• Add or remove products.
• Update files.
• Discontinue products.
• Modify service options.
• Limit quantities.
• Restrict availability.
• Close appointment times.
• Decline a custom project.
• Pause new project intake.
A product appearing on the website is not a guarantee that it will remain available indefinitely.
When a paid product or service cannot reasonably be provided, the affected order will be handled according to the Return and Refund Policy.
8. PRICES AND REQUIRED CHARGES
Prices are displayed in the currency shown during checkout.
The displayed price is intended to include mandatory charges imposed by The Overlay King for the listed product or service.
Applicable government taxes may be calculated and added during checkout.
Optional upgrades, additional services, expanded licenses, scope changes, converted formats, expedited work, or customer-requested additions may require separate payment.
An additional charge will not be applied to an existing custom-project scope without the customer’s approval.
Promotional prices and discount codes may:
• Apply only during a specified period.
• Apply only to eligible products.
• Exclude custom services.
• Exclude previous purchases.
• Require a minimum purchase.
• Be limited to one use.
• Be unavailable with another promotion.
Discounts have no cash value and cannot be exchanged for cash unless required by law.
9. NO AUTOMATIC RECURRING CHARGES
The Overlay King does not impose an automatic recurring charge unless a subscription or recurring service is:
• Clearly identified before purchase.
• Separately accepted by the customer.
• Supported by an applicable subscription policy.
• Accompanied by required renewal and cancellation disclosures.
Purchasing a digital product, custom project, or standard Setup Lab appointment does not automatically enroll the customer in a recurring payment plan.
A future subscription offering will be governed by the terms displayed when that subscription is purchased.
10. ORDERS
Submitting an order is an offer to purchase the selected product or service.
The Overlay King may decline, cancel, hold, or request verification for an order when:
• Payment fails.
• Payment remains pending.
• The order appears fraudulent.
• Information is incomplete or inconsistent.
• A pricing or listing error occurred.
• The product is unavailable.
• The order violates these Terms.
• Additional verification is reasonably necessary.
• Completing the order would violate law or a provider requirement.
An automated order confirmation acknowledges receipt of the order. It does not prevent an order from being reviewed or canceled before fulfillment.
When an order is canceled by The Overlay King before delivery, the amount paid for the undelivered item will be refunded according to the Return and Refund Policy.
11. PAYMENT AUTHORIZATION
By submitting payment information, you represent that:
• The information is accurate.
• You are authorized to use the payment method.
• You authorize the applicable charges.
• You are responsible for applicable taxes and approved additions.
• The transaction is not fraudulent or unauthorized.
Payment processing may be provided by Shopify and authorized payment providers.
The Overlay King does not intend to directly receive or store complete payment-card numbers or card-security codes.
Payment may be delayed or rejected by:
• The payment provider.
• The issuing bank.
• Fraud-prevention systems.
• Shopify.
• Security review.
• Legal or regulatory restrictions.
The Overlay King is not responsible for a bank decline, card restriction, currency-conversion charge, overdraft fee, or other charge independently imposed by a financial institution.
12. DIGITAL PRODUCTS
Digital products are electronically delivered and do not include a physical item unless the listing expressly states otherwise.
Digital products may include:
• Virtual rooms.
• Overlays.
• Cutout overlays.
• Stream effects.
• Animated elements.
• Alerts.
• Emotes.
• Graphics.
• Templates.
• Backgrounds.
• Creator assets.
• Other downloadable files.
Delivery is governed by the Digital Delivery Policy.
Ready-made digital products are usually delivered within 15 minutes after successful payment confirmation. Customers should allow up to 24 hours before reporting a delivery failure.
A configured delivery method may provide the product through:
• An emailed download link.
• An order-confirmation page.
• An order-status page.
• A private access link.
• Another electronic method assigned to the product.
13. DEFAULT DIGITAL-PRODUCT LICENSE
Unless a product listing or separate written license states otherwise, purchasing a ready-made digital product grants the purchasing customer a limited, non-exclusive, non-transferable, revocable license to use the product for one creator brand or one business brand controlled by the purchaser.
The license permits use of the product in connection with that brand’s:
• Livestreams.
• Recorded videos.
• Social-media content.
• Creator-channel content.
• Promotional videos.
• Channel announcements.
• Monetized broadcasts.
• Monetized content.
• Brand marketing.
• Live virtual performances.
• Digital creator presence.
The license does not transfer copyright or ownership of the underlying product.
The Overlay King retains all ownership rights not expressly granted to the customer.
14. MONETIZED CREATOR USE
The default license permits the purchaser to use the product in monetized content associated with the licensed creator or business brand.
Permitted monetization may include:
• Advertising revenue.
• Platform subscriptions.
• Viewer donations.
• Memberships.
• Tips.
• Sponsorships.
• Brand partnerships.
• Ticketed livestreams.
• Monetized video content.
Permitted monetization does not authorize the customer to sell, distribute, sublicense, or provide the digital asset itself as a product or service.
15. SINGLE-BRAND LICENSE
A ready-made product purchase covers one creator brand or one business brand unless the listing expressly provides a broader license.
The licensed brand may use the product across multiple channels or platforms when those channels are operated under the same creator or business identity.
Separate licenses may be required for:
• Unrelated creator brands.
• Separate businesses.
• Multiple agency clients.
• Multiple performers operating under different brands.
• Resale services.
• White-label services.
• Commercial redistribution.
• Client deliverables.
An agency, designer, manager, or production company may not use one purchase for multiple clients unless a written multi-client or extended license has been obtained.
16. CONTRACTOR ACCESS
The purchasing customer may allow a contractor or team member limited access to a purchased product when access is reasonably necessary to configure or operate the licensed brand’s content.
The customer remains responsible for:
• Protecting the files.
• Limiting access.
• Ensuring the contractor follows the license.
• Preventing independent reuse.
• Preventing distribution to another client.
• Removing access when it is no longer required.
A contractor does not receive a separate ownership or reuse right.
The contractor may not retain the product for unrelated projects or use it for another customer.
17. PROHIBITED DIGITAL-PRODUCT USE
Unless expressly authorized through a separate written license, a customer may not:
• Resell the product.
• Redistribute the product.
• Share the original files.
• Publish the files for download.
• Transfer the license.
• Sublicense the product.
• Include the product in a template sold or distributed to others.
• Use the product in client work for an unrelated third party.
• Claim authorship or ownership of the underlying design.
• Convert the product into a competing product.
• Sell modified versions.
• Sell extracted elements.
• Use the product in a stock-asset library.
• Upload the product to a public asset repository.
• Tokenize or sell the product as an NFT or comparable digital asset.
• Use the product to train, fine-tune, or develop a competing artificial-intelligence model or asset generator.
• Remove embedded copyright, license, or ownership information.
• Circumvent download limits or access controls.
• Use the product after the associated license has been terminated.
The customer may not use a purchased asset on merchandise offered for sale unless the applicable listing or a separate written license expressly allows merchandise use.
18. PRODUCT MODIFICATION
A customer may modify a ready-made product for the licensed brand’s own permitted use unless the product listing states otherwise.
Permitted modifications may include:
• Adding the customer’s name or logo.
• Adjusting approved text.
• Changing colors.
• Resizing for a supported platform.
• Incorporating the asset into the customer’s own stream layout.
• Combining the asset with the customer’s own licensed materials.
Modification does not:
• Transfer ownership.
• create a right to resell the product;
• create a right to distribute the modified product;
• create an exclusive right in the underlying design;
• permit the customer to claim authorship of the original asset.
The customer is responsible for preserving an original backup before making modifications.
19. THIRD-PARTY AND AI-ASSISTED ELEMENTS
Products and custom deliverables may include or be created with:
• Licensed fonts.
• Licensed stock assets.
• Software-generated effects.
• Plugins.
• Rendering tools.
• Third-party components.
• Artificial-intelligence-assisted tools.
• Customer-provided content.
Third-party elements remain subject to their applicable licenses and restrictions.
Unless expressly stated in writing, a purchase does not transfer ownership of:
• Third-party fonts.
• Stock licenses.
• Software.
• Plugins.
• Underlying production tools.
• Generative systems.
• Working files.
• Other third-party materials.
The Overlay King does not guarantee that every element of a product or deliverable is independently eligible for copyright registration, trademark registration, exclusivity, or other intellectual-property protection in every jurisdiction.
20. DOWNLOAD LIMITS AND ACCESS
Ready-made products may include up to five download attempts per purchased product unless another limit is displayed or communicated.
Customers are responsible for:
• Downloading files promptly.
• Confirming that files open.
• Maintaining secure backups.
• Protecting access links.
• Preventing unauthorized distribution.
Permanent hosting and indefinite access are not guaranteed.
A verified customer may request renewed access when reasonably available.
The Overlay King may deny or revoke access when:
• The order cannot be verified.
• The order was refunded.
• Payment was reversed.
• A chargeback remains unresolved.
• Fraud is suspected.
• The product was shared without authorization.
• The applicable license was violated.
21. CUSTOM-SERVICE REQUESTS
Submitting a custom-service inquiry does not obligate The Overlay King to accept the project.
A custom project begins only after the customer has:
• Received written scope or quote information.
• Approved the scope.
• Paid the required initiation payment.
• Submitted reasonably required materials.
• Received written confirmation that production is beginning.
Project availability, pricing, and timing may depend on:
• Complexity.
• Requested deliverables.
• Required software.
• Animation requirements.
• Number of scenes.
• Required formats.
• Revisions.
• Customer response time.
• Current production capacity.
22. CUSTOM-PROJECT PAYMENTS
Unless a written project scope provides different terms, custom-project payments are divided as follows:
• Fifty percent as a project-initiation payment.
• Fifty percent before final delivery.
The initiation payment reserves production capacity and authorizes work under the approved scope.
Before production begins, the initiation payment may be refunded according to the Return and Refund Policy.
Once The Overlay King provides written confirmation that production has begun, the initiation payment becomes non-refundable except where required by law or where The Overlay King cancels undelivered work.
Final deliverables are not released until the remaining balance has been paid.
23. CUSTOM-PROJECT SCOPE
The approved scope identifies the work included in the quoted price.
The scope may identify:
• Deliverables.
• Dimensions.
• File formats.
• Supported platforms.
• Static or animated assets.
• Number of scenes.
• Design direction.
• Creative references.
• Revision rounds.
• Delivery timing.
• Installation or setup work.
• Source-file availability.
• License terms.
• Customer responsibilities.
Work not listed in the approved scope is not included.
A customer request that changes the approved concept, deliverables, platform, dimensions, complexity, creative direction, or production requirements may be treated as a scope change.
24. SCOPE CHANGES
A scope change may require:
• A revised quote.
• Additional payment.
• A new initiation payment.
• A revised timeline.
• Additional customer materials.
• A separate project phase.
• A written amendment.
The Overlay King will not be required to begin additional work until the revised scope and applicable charge are approved.
Declining an additional quote does not require The Overlay King to perform work outside the original scope.
25. CUSTOM-PROJECT REVISIONS
Unless the approved scope states otherwise, a custom project includes two consolidated revision rounds.
A revision round means one organized set of requested changes submitted together.
Included revisions must remain within the approved:
• Concept.
• Deliverables.
• Platform.
• Dimensions.
• Style direction.
• Technical requirements.
• Project scope.
Revision rounds do not include:
• A new concept.
• A complete redesign.
• Additional scenes.
• Additional products.
• Additional formats.
• New animation requirements.
• New platforms.
• Work based on newly supplied direction that replaces the approved direction.
• Changes required because the customer submitted incorrect information.
Additional revision rounds or out-of-scope changes may require additional payment and time.
26. CUSTOMER REVIEW RESPONSIBILITIES
The customer is responsible for reviewing proofs carefully.
Before approving a final proof, the customer should verify:
• Names.
• Spelling.
• Dates.
• Times.
• Prices.
• Social handles.
• Logos.
• Brand colors.
• Text.
• Placement.
• Dimensions.
• Orientation.
• Platform requirements.
• File-format requirements.
• Included scenes.
• Animation direction.
• Other project details.
The Overlay King is not responsible for an error that appeared clearly in an approved proof and was not reported before approval, except where correction is required by law or agreed in writing.
27. FINAL APPROVAL
Final approval indicates that the customer accepts:
• The visual design.
• The displayed text.
• The selected layout.
• The approved animation.
• The included deliverables.
• The applicable scope.
• The project’s readiness for final production and delivery.
After final approval:
• The remaining balance becomes due.
• Included revision rounds are considered complete.
• Additional changes may require a new charge.
• Final production and delivery may begin.
Approval may be documented through email, project communication, an approval form, electronic signature, or another written method.
28. CUSTOM-PROJECT DELIVERY
Unless a different timeline is stated in the approved scope, custom-project final files are usually delivered within two business days after:
• Final proof approval.
• Payment of the remaining balance.
• Completion of all required customer actions.
Delivery may occur through:
• Email attachment.
• Private download link.
• Cloud-storage link.
• Direct electronic file transfer.
• Another approved electronic method.
Only the files, formats, versions, dimensions, and deliverables listed in the approved scope are included.
Source files, working files, layered files, templates, raw animation files, fonts, licensed elements, and software-specific project files are not included unless expressly stated in writing.
29. CUSTOM-PROJECT OWNERSHIP AND LICENSE
The customer retains ownership of customer materials supplied to The Overlay King.
The Overlay King retains ownership of:
• Pre-existing products.
• Templates.
• Tools.
• Techniques.
• Production methods.
• Reusable systems.
• Working files.
• Source files not expressly included.
• Underlying code.
• Scripts.
• Licensed stock elements.
• Fonts.
• Plugins.
• Third-party components.
• General knowledge and skills.
After full payment, the customer receives a perpetual, non-exclusive, non-transferable license to use the final custom deliverables for the customer’s approved creator or business brand.
The customer may use final custom deliverables in:
• Livestreams.
• Videos.
• Social-media content.
• Monetized content.
• Brand promotion.
• Digital advertising.
• Creator-channel operations.
• Approved business marketing.
Copyright ownership, exclusivity, source-file ownership, trademark rights, merchandise rights, or rights for multiple brands are transferred only when the approved written scope expressly states that those rights are included.
30. PORTFOLIO USE
Unless confidentiality is accepted in writing before production begins, The Overlay King may display completed, publicly released custom work for:
• Portfolio presentation.
• Website examples.
• Social-media promotion.
• Case studies.
• Service demonstrations.
• Business marketing.
The Overlay King will not intentionally display private passwords, payment information, unpublished credentials, private messages, or other unnecessary sensitive information.
A customer requiring confidentiality, delayed publication, or a portfolio restriction must request it before production begins.
A confidentiality requirement may affect the project scope, agreement, or price.
31. CUSTOMER-SUPPLIED MATERIALS
By providing materials for a custom project or support request, the customer represents that the customer:
• Owns the materials; or
• Has permission to use and provide them.
Customer materials may include:
• Logos.
• Photographs.
• Video.
• Music.
• Fonts.
• Artwork.
• Brand names.
• Trademarks.
• Screenshots.
• Recorded performances.
• Written content.
• Character likenesses.
• Third-party references.
• Other assets.
The customer authorizes The Overlay King to use submitted materials only as reasonably necessary to:
• Review the request.
• Create the approved project.
• Communicate about the project.
• Prepare proofs.
• Complete revisions.
• Deliver final files.
• Provide support.
• Maintain reasonable project records.
• Display completed work when portfolio use is permitted.
The customer is responsible for claims arising from customer materials that the customer was not authorized to use.
32. REFERENCES AND THIRD-PARTY DESIGNS
Reference images may be used to communicate general preferences such as:
• Mood.
• Color.
• layout.
• Composition.
• Lighting.
• Style.
• Production quality.
Providing a reference does not require The Overlay King to reproduce another creator’s protected work.
The Overlay King may refuse a request to copy or closely reproduce:
• Another designer’s work.
• A protected logo.
• Copyrighted artwork.
• A celebrity likeness.
• A trademarked brand identity.
• A third party’s proprietary design.
• Other material that may create an infringement risk.
33. PROJECT DELAYS CAUSED BY THE CUSTOMER
The customer is responsible for providing timely:
• Materials.
• Feedback.
• Approvals.
• Answers.
• Scheduling information.
• Access to approved systems.
• Final payment.
• Other required project information.
A project may be placed on hold after 14 consecutive calendar days without a required customer response.
A project may be closed as inactive after 30 consecutive calendar days without a required customer response.
The Overlay King will provide written notice before closing a project for inactivity.
Restarting a held or closed project may require:
• New production availability.
• A revised timeline.
• Updated pricing.
• A reactivation fee.
• A scope-review fee.
• Replacement of expired third-party assets.
• A new written agreement.
Previously paid amounts remain subject to the Return and Refund Policy.
34. SETUP LAB SERVICES
Setup Lab services may include:
• One-on-one guidance.
• Stream review.
• Software configuration assistance.
• Workflow recommendations.
• Overlay installation assistance.
• Scene organization.
• Platform-transition guidance.
• Bot or automation consultation.
• Technical troubleshooting.
• Stream-remodeling guidance.
The precise service is limited to the description purchased and the work reasonably possible during the reserved session.
A Setup Lab appointment is considered confirmed when the customer receives written confirmation identifying the:
• Selected service.
• Date.
• Time.
• Applicable time zone.
A general order receipt does not replace a separate appointment confirmation when scheduling occurs through another system.
35. SETUP LAB PAYMENT AND RESCHEDULING
Full payment is required to reserve a Setup Lab appointment.
The customer may request one reschedule by providing at least 24 hours’ notice before the scheduled appointment.
A request received less than 24 hours before the appointment may be denied and the payment may remain non-refundable.
A missed appointment or failure to attend without proper notice is non-refundable except where required by law.
A customer who arrives late is entitled only to the remaining portion of the reserved appointment time.
Late arrival does not extend the scheduled end time.
36. SETUP LAB TECHNICAL RESPONSIBILITIES
The customer is responsible for having:
• A functioning device.
• Stable internet access.
• Required software installed.
• Valid software licenses.
• Required passwords available to the customer.
• Administrative permission on the customer’s own system.
• Necessary project files.
• A functioning microphone or communication method.
• A suitable environment for the session.
The customer should not provide passwords, recovery codes, complete payment-card information, private keys, or other sensitive credentials.
Customer-caused technical problems do not automatically extend the session or create refund eligibility.
The Overlay King may provide reasonable troubleshooting assistance within the reserved time.
37. APPOINTMENTS CANCELED BY THE OVERLAY KING
When The Overlay King cancels an appointment or cannot provide the session because of a technical failure within its reasonable control, the customer may receive:
• A replacement appointment without an additional session charge; or
• A refund for the affected appointment.
The resolution will be provided according to the Return and Refund Policy.
38. NO GUARANTEE OF BUSINESS RESULTS
Digital products, custom designs, and Setup Lab services are intended to improve visual presentation, organization, functionality, or creator workflow.
The Overlay King does not guarantee:
• Increased followers.
• Increased subscribers.
• Increased revenue.
• Increased donations.
• Increased engagement.
• Sponsorships.
• Platform verification.
• Partnership status.
• Employment.
• Business profitability.
• Audience growth.
• Viral performance.
• A specific ranking.
• A specific technical outcome outside the approved scope.
Results depend on factors beyond The Overlay King’s control, including the customer’s content, equipment, internet connection, platform, audience, software, implementation, consistency, and business decisions.
39. SOFTWARE AND PLATFORM COMPATIBILITY
Customers are responsible for reviewing listed compatibility before purchase.
A product may require specific:
• Broadcasting software.
• Design software.
• File-extraction software.
• Operating systems.
• Plugins.
• Codecs.
• Hardware.
• Platform settings.
• Technical knowledge.
A customer’s inability to use a correctly delivered product on an unsupported platform does not by itself establish delivery failure.
The Overlay King does not control future updates made by:
• OBS Studio.
• Streamlabs.
• TikTok.
• Twitch.
• YouTube.
• Social-media platforms.
• Operating-system providers.
• Graphics applications.
• Plugins.
• Browsers.
• Hardware manufacturers.
• Other third parties.

Additional assistance may require a Setup Lab purchase or separate custom-service quote.
41. REPORTING DELIVERY OR FILE ISSUES
Ready-made product and custom-project delivery issues must be reported within seven calendar days after delivery.
Reportable issues may include:
• Missing files.
• Corrupt files.
• Inaccessible archives.
• Incorrect formats compared with the listing or scope.
• Nonfunctioning access links.
• A material difference from the published description.
• A material difference from the approved final proof.
The customer should provide:
• Order or project number.
• Purchasing name.
• Purchasing email address.
• Product or service name.
• Description of the problem.
• Screenshot or error message when applicable.
Verified issues will first be addressed through troubleshooting, repair, replacement, correction, renewed access, alternative delivery, or redelivery.
Refund eligibility is governed by the Return and Refund Policy.
42. RETURNS, REFUNDS, AND CANCELLATIONS
Digital products are final after delivery except for verified circumstances identified in the Return and Refund Policy.

A chargeback or payment dispute may result in temporary suspension of:

• Redelivery.
• Project production.
• Final delivery.
• Appointment access.
• Related customer services.
The Overlay King may provide payment, order, download, delivery, access, approval, booking, and communication records when responding to a payment dispute.
When a dispute is resolved and the order remains valid and fully paid, access or production may resume after verification.
44. REFUNDS AND LICENSE TERMINATION
When an order is fully refunded, canceled, reversed, determined to be fraudulent, or subject to a successful payment dispute, The Overlay King may:

A customer whose license has been terminated must stop using and delete:

• Download attempts.
• Access activity.
• Custom-project approvals.
• Final delivery.
• Appointment confirmations.
• Meeting-link delivery.
• Redelivery.
• Customer support.
• Payment disputes.
When supported by the applicable system, records may include:
• Timestamps.
• IP addresses.
• Browser information.
• Device information.
• Operating-system information.
These records may be used to:
• Verify fulfillment.

The customer may request removal of future promotional use through the Contact page. Removal does not require deletion from completed printed materials, archived records, or content that The Overlay King does not control.
47. INTELLECTUAL PROPERTY
The website and its content may include:

• Images.

• Logos.

No website, storage service, internet transmission, or electronic communication method can be guaranteed to be completely secure.
Customers are responsible for:

Customers may unsubscribe from promotional email without affecting necessary order, project, security, appointment, or support communications.
54. ELECTRONIC AGREEMENTS
The customer agrees that electronic actions may be used to document agreements and approvals.
Electronic actions may include:
• Checking an acceptance box.
• Completing checkout.
• Sending written approval by email.
• Approving a project scope electronically.
• Submitting a form.
• Paying an invoice.
• Confirming a final proof.
• Booking an appointment.
• Downloading and using a product.
Electronic records and signatures may be retained as evidence of the applicable transaction or agreement.
55. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, the website, products, files, services, and content are provided on an “as available” and “as provided” basis.

57. CUSTOMER INDEMNIFICATION
To the extent permitted by law, the customer agrees to defend and hold The Overlay King harmless from third-party claims arising from:
• Customer-supplied materials that the customer was not authorized to use.
• Unauthorized redistribution of a product.
• Use outside the applicable license.
• Customer infringement of another person’s rights.
• Customer fraud or unlawful conduct.
• Customer violation of these Terms.
This obligation does not apply to the extent a claim was caused by The Overlay King’s own fraud, willful misconduct, or other liability that cannot legally be excluded.
58. SERVICE INTERRUPTION AND EVENTS OUTSIDE REASONABLE CONTROL
The Overlay King is not responsible for a delay caused by events outside its reasonable control, including:

• Cloud-storage failures.
• Email-service interruptions.

• Fraud.

When appropriate, the customer will receive notice and an opportunity to correct a curable issue.
Immediate action may be taken when necessary to protect customers, systems, intellectual property, safety, or legal rights.
Termination does not eliminate obligations or rights that arose before termination.
60. GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where another jurisdiction’s mandatory consumer law applies.
Subject to any non-waivable right to bring a claim elsewhere, disputes concerning these Terms, products, or services may be brought in a court with appropriate jurisdiction located in Sacramento County, California.
Nothing in this section removes a consumer right that cannot legally be waived.
61. INFORMAL DISPUTE RESOLUTION
Before filing a legal claim, the customer and The Overlay King should make a reasonable attempt to resolve the issue directly.
A written dispute notice should include:

• Description of the dispute.

The notice should be submitted through the Contact page.

62. NO MANDATORY ARBITRATION PROVISION
These Terms do not impose a mandatory private-arbitration requirement or class-action waiver.
Any future arbitration agreement must be separately and clearly presented, legally reviewed, and accepted before it applies.

The Overlay King may update these Terms to reflect changes to:

67. ENTIRE AGREEMENT
These Terms, incorporated policies, product listings, approved project scopes, written quotes, invoices, and applicable written agreements form the entire agreement concerning the applicable product or service.
They replace prior discussions or communications concerning the same subject to the extent those discussions are not included in the final written agreement.
68. SURVIVAL
Provisions that reasonably need to continue after delivery, refund, termination, or project closure will survive.

Unless otherwise stated, “business days” means Monday through Friday, excluding United States federal holidays.
Business-day calculations are based on Pacific Time.
